Corporate finance serves as the bedrock of strategic decision-making within organizations, fundamentally concerned with the maximization of shareholder value through optimal resource allocation. This theoretical research paper provides a comprehensive examination of the core pillars of corporate finance: investment decisions (capital budgeting), financing decisions (capital structure), and dividend policy. It explores the foundational theories, including the Modigliani-Miller theorem, Agency Theory, and the Trade-Off Theory, which have shaped contemporary understanding. The paper delves into the critical roles of corporate governance, risk management, and the evolving landscape shaped by technological advancements and sustainability imperatives. By analyzing these theoretical constructs, the study identifies persistent challenges such as information asymmetry, the volatility of global markets, and the complex interplay between stakeholder interests. The future scope of corporate finance is projected towards the integration of environmental, social, and governance (ESG) factors, the application of behavioral finance principles, and the transformative potential of financial technology (FinTech) on valuation and capital raising. This research concludes that the modern financial manager must adopt a holistic and adaptable strategy, balancing the pursuit of profitability with robust risk management and broader societal responsibilities.

Corporate finance theory provides an indispensable toolkit for navigating the complexities of strategic financial management. This paper has explored the foundational pillars of investment, financing, and dividend decisions, underpinned by critical theories like the M&M theorem, Agency Theory, and the Trade-Off Theory. These theories, while often developed in abstraction, offer powerful insights into the real-world frictions that shape corporate behavior. The challenges, including information asymmetry, behavioral biases, and systemic risk, highlight the limitations of purely mechanistic models and emphasize the need for sound judgment and robust governance. Looking ahead, the field is on the cusp of significant transformation. The mandatory integration of ESG factors, the ascendance of behavioral finance, and the disruptive influence of FinTech are not merely peripheral trends but are central to the future of corporate finance. Ultimately, the modern financial manager must transcend the traditional focus on profitability to adopt a more holistic, dynamic, and responsible approach one that leverages financial theory to build resilient, sustainable, and truly valuable enterprises for all stakeholders.
